Terms of service

1. Agreement

These terms govern your use of https://codexweblabs.com and any web-design service you purchase from CodexWebLabs, the trade name of 9455-4441 Quebec inc.(the “Company”). By using the site or engaging us, you accept these terms.

2. Privacy

Your information is handled in accordance with our Privacy policy, which is incorporated into these terms by reference.

3. Services

We design and build custom websites end-to-end: brand discovery, design system, code, SEO, hosting setup, and launch. Every project is hand-coded — no template marketplaces, no SaaS site builders. Scope, deliverables, and timelines are confirmed in the project proposal before work begins.

4. Pricing & tiers

Public tiers are listed on the Pricing page. Custom-scoped engagements are quoted individually. All prices are in Canadian dollars unless otherwise stated. Taxes (GST, QST, or your local equivalent) are billed in addition where applicable.

5. Payment

Projects are billed in fixed milestones. A non-refundable deposit is required to begin work; remaining milestones fall due at beta and launch. Payments are processed by Stripe; cards, Klarna, Affirm, and Afterpay are accepted where Stripe supports them. Late invoices may suspend work after notice.

6. Delivery & revisions

We deliver in production-ready milestones, not drag-out drafts. Two rounds of revisions on design and copy are included in every tier; additional revisions are billed hourly at the rate stated in the proposal. You approve each milestone in writing before we move on.

7. Ownership & intellectual property

On final payment, you receive full ownership of the source code, brand assets, content, and any data structures we built for your project. We retain the right to (a) reuse generic patterns and non-client-specific code in other projects, and (b) reference your project in our portfolio, case studies, and marketing materials unless you opt out in writing.

8. Hosting & third-party accounts

All third-party services your site depends on (Vercel, Supabase, Stripe, Resend, domain registrar, etc.) live under your accounts and are paid by you. We assist with setup and transfer credentials at launch; we do not manage billing or assume liability for those services after handoff.

9. Maintenance

We do not require a monthly maintenance retainer. Post-launch changes are billed hourly at the rate listed in the proposal, or you can engage any other developer — the code is yours. If you want a fixed-scope retainer for recurring updates, we are happy to quote one separately.

10. Client responsibilities

You agree to (a) provide content, brand assets, and approvals in a timely manner; (b) warrant that any material you supply does not infringe third-party rights; and (c) keep the credentials we hand over secure. Delays caused by missing content or approvals may push milestone dates without penalty to us.

11. Limitation of liability

To the maximum extent permitted by law, the Company's aggregate liability for any claim arising out of these terms is limited to the amount you actually paid us for the specific project in question during the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

12. Quebec Consumer Protection Act

Nothing in these terms limits or excludes any non-waivable right or remedy you have under the Quebec Consumer Protection Act, the federal Competition Act, or any other applicable consumer-protection statute. If any clause here conflicts with such a right, the statutory right prevails to the extent of the conflict.

13. Termination

Either party may terminate with seven days' written notice if the other materially breaches these terms and fails to cure within that window. The Company may suspend or terminate immediately for non-payment after notice. Completed milestones remain payable.

14. Governing law

These terms are governed by the laws of Quebec, Canada and the federal laws of Canada applicable in Quebec. Exclusive jurisdiction for any dispute lies with the Courts of the District of Montreal.

15. Changes

We may update these terms as our service evolves. Material changes will be flagged on the homepage; the “Last updated” date above moves with every revision. Continued use of the site or service after a change is acceptance of the new terms.
